Debt and Equity Investment.
Negotiated and reviewed financing and security documents for an investment and loan to be made by client in another company.
Review and Interpretation of Investment Policies.
Advised the Board and Investment Committee of a private educational institution on governance, fiduciary duties and investment policy requirements relating to investment of endowment funds.
Loan Analysis.
Reviewed and advised nonprofit client on loan documents and guarantees in connection with a multi-million dollar refinance of client-owned facilities.
Preparation of a Letter of Credit and Guarantee.
Assisted a client with the negotiation of a guarantee in connection with the manufacture and provision of medical equipment by a foreign company. Negotiated with vendor’s foreign bank for an acceptable letter of credit.
